1. Definitions

Service: the online business workspace available under the name Moderanto at moderanto.ai and app.moderanto.ai, including its Business, Office, Calendar and connection features.

User: the natural or legal person who registers a workspace for the Service. Typically a business.

Member: a person the User invites into its workspace. Members act on the User's behalf and are not parties to this contract.

Connected service: a service run by a third party that the User chooses to connect to the Service, such as its own file storage, a publishing platform, or its own AI assistant.

Document: an offer, contract or other document produced in the Service. It is neither an accounting document nor an invoice reported to a tax authority.

2. Scope and acceptance of these terms

These terms set out the content of the contract between the Provider and the User. By registering, the User declares that they have read and accept these terms, thePrivacy policy and theData processing agreement.

The contract does not qualify as a contract put in writing, the Provider does not file it, and it is therefore not accessible afterwards. The language of the contract is English.

3. Subject of the Service and its express limits

The Service supports running a business that sells its services: recording enquiries, preparing and sending offers, turning accepted offers into jobs, managing projects, tasks, milestones and clients, keeping a catalogue and price lists, producing business documents, keeping documents and templates, preparing, scheduling and publishing marketing content, shared calendars, and connecting the User's own storage and own AI assistant.

The User expressly acknowledges the following.

  • The Service is not invoicing software. The documents it produces do not meet the requirements of an invoice under tax law, and the Provider does not report them to any tax authority. Formal invoicing is the User's own responsibility.
  • The Service is not a bookkeeping or tax advisory service. The Provider accepts no responsibility for the fulfilment of the User's tax obligations.
  • The Service is not legal advice. Contracts, offers and other documents the User prepares from templates are the User's own documents, and their content is the User's responsibility.
  • The Service is not an artificial intelligence service. The Provider supplies no AI model. An AI assistant the User connects is a Connected service, provided under the User's own agreement with its provider. Actions it carries out through the access the User or a Member has granted count as actions of that person.
  • The Service is not cloud storage and not an archive. Files are placed in the User's own storage in accordance with section 9 of these terms. Keeping them is a matter between the User and their own storage provider.

Content the User publishes through the Service to a publishing platform or website is the User's own publication. The User is responsible for its content and for complying with the terms of the platform concerned.

The calculations and documents shown in the system are based on the data supplied by the User. The User is responsible for the accuracy of that data and for the content of the documents issued.

4. Registration and user account

Using the Service requires registration. The User must supply accurate data and must keep the password to their account secret. The User is responsible for activity carried out with their account, by the Members they invite, and by the AI assistants and integrations they or their Members connect.

The Provider may refuse a registration or close a workspace opened in breach of these terms, without giving reasons.

5. Early Access

To make the Service known, the Provider offers it as Early Access. Early Access isfree of charge until further notice, includes every feature of the Service, and places no limit on the number of Members, records or usage. It does not require a bank card and does not give rise to any payment obligation.

Early Access gives access to a version of the Service that is still under development. Some features may change, become temporarily unavailable, or not work correctly.

The Provider may end Early Access or introduce paid plans. It announces this in advance by e-mail and on the website. Nothing becomes payable unless the User chooses a paid plan; a User who does not choose one continues on the free plan the Provider offers at that time, and their recorded data is kept. The Provider may stop offering Early Access to new Users at any time.

Early Access is free use of the Service, and the provisions of section 11 of these terms on free use apply to it.

6. Fees

The Service currently has no paid plan. If the Provider introduces paid plans, their fees, billing and the related consumer rights will be set out in these terms before they become available, and they will apply only to Users who choose a paid plan.

7. Termination

The contract is concluded for an indefinite term. The User may stop using the Service at any time, and may ask for their workspace to be closed by writing to[email protected].

The Provider may terminate the contract with immediate effect if the User is in serious breach of these terms, in particular if they use the Service for an unlawful purpose, endanger the operation of the system, or use the Service as general file storage.

The Provider is entitled to suspend the User's access where there is reasonable ground to suspect abuse or conduct that threatens the security of the system.

8. Availability and support

The Provider operates the Service continuously and with the care that can reasonably be expected of it, but does not undertake a defined availability level. The Provider may suspend the Service for maintenance, and gives advance notice of this where possible.

Support is available by e-mail at [email protected] and through the feedback feature in the Service. The Provider replies to enquiries within 3 working days at the latest.

9. Data, backups and storage

The data recorded by the User belongs to the User. The User may export content items from the Service at any time, and on request the Provider provides a copy of the workspace's data in a commonly used, machine-readable format.

Uploaded files and attachments go to the User's own storage, which the User connects to the Service (Google Drive or S3-compatible storage). These files are in the User's own account. The Provider does not delete them when the contract ends or when the User disconnects their storage.

The Provider takes regular backups of the system. These backups serve to restore the Service, not to preserve the User's data.

The User must keep their own record, independent of the Service, of the data that matters to them, in particular agreements, offers, documents issued and client records. The Service does not replace that record, nor does it replace the User's statutory obligation to retain records and documents.

10. The User's obligations

  • Supplying accurate data and keeping it up to date.
  • Keeping their own record, independent of the Service, of the data that matters to them, in accordance with section 9 of these terms.
  • Complying with the law, in particular in relation to the personal data of their clients, contacts and Members, and ensuring that those people receive proper information about its processing.
  • Holding the rights to the content they upload and publish, and complying with the terms of the Connected services they use.
  • Using the Service as intended. The Service may not be used for general file storage, for loading the system, or for automated querying beyond the API, AI assistant and webhook features the Service provides.

11. Liability

The Provider is not liable for damage arising from data supplied by the User that is incorrect, incomplete or not recorded, in particular for damage arising from an incorrect offer or document, a missed appointment, or content published to a third-party platform.

The Provider is not liable for the operation of Connected services, including the User's own storage, publishing platforms and AI assistants, nor for actions an AI assistant carries out within the access granted to it.

Free use. Free use of the Service, including Early Access and any free plan, is at the User's own risk. For free use the Provider excludes its liability to the fullest extent permitted by law, including in particular for damage arising from the loss, corruption or unavailability of data, and from the Service being unavailable or not working correctly. This exclusion does not affect liability for breach of contract caused intentionally or causing harm to human life, bodily integrity or health.

The Provider's liability is limited to the amount of fees actually paid by the User in the twelve months preceding the damage. This limitation does not affect liability for breach of contract caused intentionally or causing harm to human life, bodily integrity or health.

12. Intellectual property

The Service, its source code, its interface, its visual design and the Moderanto mark are the intellectual property of the Provider. The User obtains a non-exclusive, non-transferable right of use for the duration of the contract.

13. Amendment of these terms

The Provider may amend these terms unilaterally at any time. An amendment takes effect when it is published on the website. If the User does not accept the amendment, they may terminate the contract.

14. Complaints and redress

The User may submit a complaint at the e-mail address or telephone number given above. The Provider examines the complaint and replies to it in writing within 30 days.

A User qualifying as a consumer may turn to the conciliation body competent for their place of residence. The body competent for the Provider's registered office is the Budapest Conciliation Board, 1016 Budapest, Krisztina krt. 99., 3rd floor 310.

Consumer protection proceedings may be initiated at the metropolitan or county government office competent for the place of residence.

15. Miscellaneous

Matters not regulated in these terms are governed by Hungarian law, in particular Act V of 2013 on the Civil Code, Act CVIII of 2001 on electronic commerce services, and Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses.
